Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bilingual Agents Group website (the “Site”) and our services. By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. Eligibility & acceptance

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a company, you represent that you have authority to bind that company to these Terms, and “you” refers to that company.

2. What we do

Bilingual Agents is a placement service. We scope your role, source and vet candidates across our Latin American markets, and present a shortlist of finalists for you to choose from. You engage and pay your chosen agent directly — we are not the agent’s employer or your employer of record, and we take no markup or commission on the agent’s pay. Our only charge is a one-time flat placement fee.

3. Paid engagements

Paid placements are governed by the separate Placement Services Agreement you sign before we begin a search. If anything in these Terms conflicts with that Agreement for a paid engagement, the Agreement controls. These Terms govern your general use of the Site.

4. Fees & payment

Placement fees are presented at the time of engagement and set out in your Agreement. Payments are handled by our third-party payment provider, LastPay (lastpay.io); we do not collect or store full payment-card details. Fees are in US dollars unless stated otherwise, and are exclusive of any applicable taxes.

5. No guarantee of results

We screen candidates carefully but do not guarantee any candidate’s future performance, and we are not liable for the acts or omissions of any agent you engage. Your remedy if a placement does not work out is the replacement guarantee described in your Agreement.

6. AI-assisted development

In the interest of transparency, parts of this Site were created with the assistance of artificial-intelligence tools. We review the Site and remain responsible for its content; AI was used only in a limited capacity to help build it. If you spot an error or anything unclear, please tell us at business@bilingualagentsgroup.com and we’ll correct it.

7. Acceptable use

You agree not to misuse the Site, interfere with its operation or security, attempt unauthorized access, scrape or harvest data, submit false or misleading information, or use the Site for any unlawful purpose.

8. Intellectual property

The Site and its content, design, logos, and trademarks are owned by Bilingual Agents Group and protected by applicable law. You may not copy, reproduce, distribute, or create derivative works without our prior written permission.

9. Third-party services & links

The Site relies on third-party services (for example, scheduling via Calendly, e-signature via DocuSign, payments via LastPay, and analytics/advertising via Google and Meta) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them is governed by their own terms and privacy policies.

10. Electronic communications & consent

When you submit your information, you consent to receive communications from us related to your inquiry by email, phone, SMS, or WhatsApp at the contact details you provide. With your consent where required, we may also send you marketing messages; you can opt out at any time (for example, by replying STOP or contacting us). Message and data rates may apply. You consent to receive communications and agreements electronically.

11. Disclaimers

The Site and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Nothing on the Site is legal, financial, tax, or HR advice; you are responsible for your own classification, tax, and compliance decisions regarding any agent you engage.

12. Limitation of liability

To the maximum extent permitted by law, Bilingual Agents Group and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Site or services. Our total aggregate liability for any claim relating to the Site will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) US $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bilingual Agents Group and its owners, employees, and contractors from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

14. Binding arbitration & class-action waiver

Please read this section carefully — it affects your legal rights.

(a) Informal resolution first. Before starting an arbitration, you agree to first try to resolve any dispute informally by emailing business@bilingualagentsgroup.com with a description of your claim. We’ll try in good faith to resolve it within 30 days.

(b) Agreement to arbitrate. If we can’t resolve it, you and Bilingual Agents Group agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site/services will be resolved by binding, individual arbitration rather than in court, except as stated below. The Federal Arbitration Act governs the interpretation and enforcement of this section.

(c) Rules & forum. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration may be conducted by telephone, video, or written submissions, or in person in the county of your residence or another mutually agreed location.

(d) Class-action & jury waiver. You and Bilingual Agents Group agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims. You and we waive any right to a jury trial.

(e) Exceptions. Either party may (1) bring an individual claim in small-claims court, and (2) seek injunctive or other equitable relief in court for actual or threatened infringement or misuse of intellectual property.

(f) 30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us your name and a statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

(g) Severability. If the class-action waiver in (d) is found unenforceable, then the entirety of this Section 14 will be null and void, but the rest of these Terms will remain in effect.

15. Governing law

Except for the arbitration section (which is governed by the Federal Arbitration Act), these Terms are governed by the laws of the United States and the state in which Bilingual Agents Group maintains its principal place of business, without regard to conflict-of-laws rules.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new “last updated” date, and your continued use of the Site after changes take effect means you accept the updated Terms.

17. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for failures or delays caused by events beyond our reasonable control (force majeure). These Terms, together with the Privacy Policy and any Placement Services Agreement, are the entire agreement between you and us regarding the Site. Section headings are for convenience only.
